I have no facts about US company law, but I wonder if perhaps Steve & Co have transferred the registration of some of their UK shareholding to this Palace HoldCo UK LTD to comply with US laws on Company Shareholdings in overseas organisations?

Anyone up on US Company law?

Does SP & the remaining CPFC2010 reduced share combined still hold a majority over the Americans share? If it does & its wrapped up in other company names then great, if it doesnt then I guess we've been taken over...

Crystal Palace F.C. is currently owned by CPFC 2010 Limited, a Private Limited Company registered at Company House. CPFC 2010 was established by a consortium of four businessmen, Steve Parish, Martin Long, Stephen Browett and Jeremy Hosking in 2010, each owning a 25% share of the company.[82][83] The four successfully negotiated a take-over with the administrator Brendan Guilfoyle and a company voluntary arrangement was formally accepted by company creditors on 20 August 2010.[84] CPFC 2010 also purchased the ground from Lloyds Bank after a demonstration by fans put pressure on the bank to agree terms.[85][86]

On 18 December 2015, it was announced that a new deal had been signed with American investors Josh Harris and David Blitzer.[87] The club stated that Steve Parish would continue as chairman alongside Harris and Blitzer and that Browett, Long and Hosking would also retain a substantial investment.[88]

In fact the ownership was Steve Parish 18% Steve Browett 5% Jeremy Hosking 5% Martin Long 2.5% with the remainder being owned by Palace Holdco LP (a limited partnership registered in Delaware) 67.5% and Palace Parallel LLC (a company also registered in Delaware)1.5% (figures rounded to nearest .5). In addition both Palace Holdco and Palace Parallel have 180 preference shares each. As the Delaware companies do not have to reveal their owners the exact ownership of the club is therefore unknown but the majority shareholder is the US companies and therefore it is reasonable to assume it is a consortium of US investors of whom Harris and Blitzer are the major shareholders in the Delaware companies.

Supported Palace for over 69 years since the age of 7 and have seen all the ups and downs and will probably see many more ups and downs before I go up to the big football club in the sky.

I am drunk and therefore at least as interested at this moment in time in the soft p*** at the bottom of the page but...

It is known I believe that the SP, JH and Blitzer equally own the top tier share class. I'm too drunk to recall how that share class was described.

But looking at the statements from back then and the one posted here, it seems to me that the yanks have the power.

I suspect they view SP as a highly effective CEO/chairman though. They are smart. They realise he's engaged, clever and knowledgeable about football. They know they aren't.

The whole point of using Delaware LLP and LLC structures is to disguise ownership of assets and to an extent avoid tax. Assuming to 'old,' owners are all resident in the UK for tax purposes they could be using these structures as a moneybox but as footie clubs don't make profits this unlikely so more likely this is a structure used by the Americans for US tax purposes and points to them owning a majority shareholding.

Wonder who owns our main asset (the ground.)

CPFC2010:
"DB JH and i have 18% of the economic interest

We own 100% of the entity that controls the club between us and we have to agree for things to happen

Where the shares are held is just residency , there is no voting block of 67%

Its a General partner Limited Partner structure, David John and I are General Partners with control the other shareholders are limited partners.

Hope this clears it up ."

What investment? There doesn't seem to be any money invested apart from the money earned from the Premier League. All this millions being put into the club from the Americans seems to be BS. Seems the original owners got the money which is fair enough, but why tell us that none of them were getting money because the value of their smaller shares would rise due to the investment in the club?
