I have no facts about US company law, but I wonder if perhaps Steve & Co have transferred the registration of some of their UK shareholding to this Palace HoldCo UK LTD to comply with US laws on Company Shareholdings in overseas organisations? Anyone up on US Company law?

Does SP & the remaining CPFC2010 reduced share combined still hold a majority over the Americans share? If it does & its wrapped up in other company names then great, if it doesnt then I guess we've been taken over...

Supported Palace for over 69 years since the age of 7 and have seen all the ups and downs and will probably see many more ups and downs before I go up to the big football club in the sky. |

I am drunk and therefore at least as interested at this moment in time in the soft p*** at the bottom of the page but... It is known I believe that the SP, JH and Blitzer equally own the top tier share class. I'm too drunk to recall how that share class was described. But looking at the statements from back then and the one posted here, it seems to me that the yanks have the power. I suspect they view SP as a highly effective CEO/chairman though. They are smart. They realise he's engaged, clever and knowledgeable about football. They know they aren't.

The whole point of using Delaware LLP and LLC structures is to disguise ownership of assets and to an extent avoid tax. Assuming to 'old,' owners are all resident in the UK for tax purposes they could be using these structures as a moneybox but as footie clubs don't make profits this unlikely so more likely this is a structure used by the Americans for US tax purposes and points to them owning a majority shareholding. Steve just posted on BBS to clarify things. CPFC2010: We own 100% of the entity that controls the club between us and we have to agree for things to happen Where the shares are held is just residency , there is no voting block of 67% Its a General partner Limited Partner structure, David John and I are General Partners with control the other shareholders are limited partners. Is this even slightly surprising? Surely it's obvious that SP is a part of the holding companies? They're based in Delaware so their share splits don't need to be disclosed. Did people honestly think that the Americans would provide significant investment (to a level that CPFC2010 couldn't match) but not ask for a chunky size of the company in return? What investment? There doesn't seem to be any money invested apart from the money earned from the Premier League. All this millions being put into the club from the Americans seems to be BS. Seems the original owners got the money which is fair enough, but why tell us that none of them were getting money because the value of their smaller shares would rise due to the investment in the club?
