I thought it was the employment laws which gives employees much greater protection from getting laid off. But my information is old.

These arc things in a very thick book of working practices companies must adhere to. There’s a huge amount holding companies back or putting them off.

But with respect I think one of the reasons that Delaware has or had a reputation for being a tax haven had less to do with the rate of taxation and more to do with the fact that the beneficial owners of businesses registered in the state didn't need to register their interest. So if someone wants to launder money, they can send it a business registered in Delaware and nobody will know who it belongs to.

Delaware has many advantages for those seeking 'tax efficiency,' They operate a system of limited liability partnerships where it is not necessary to disclose any individual ownership of interest in the partnership and the amount of information which it is necessary to provide when filing accounts is minimal.

Which is why who owns what and gets what in terms of ownership of the club is all a bit murky.

Quite handy if you have substantial quantities of cash from dubious business activities.

And if you want to avoid corporation tax then just incur some extra costs.
